MULTI-JURISDICTION NOTICE
These Terms of Service govern the use of the Horizon Rides platform across all territories in which we operate, currently Saint Lucia, Antigua & Barbuda, the Co-operative Republic of Guyana, and Saint Kitts & Nevis. Horizon Rides is registered in Saint Lucia and operates in additional territories as a foreign service provider through digital cross-border supply. Country-specific provisions are set out in Schedule A at the end of this document and form an integral part of these Terms.
1. PARTIES AND LEGAL RELATIONSHIP
1.1 Definitions: "Horizon Rides," "we," "us," or "the Company" means the business trading as Horizon Rides, registered under the Registration of Business Names Act, Chapter 13:03 of the Laws of Saint Lucia, with its principal place of business in Castries, Saint Lucia. "User," "you," or "your" means any person accessing the Services, whether as a Driver, Passenger, or Restaurant Partner, in any Operating Territory. "Operating Territory" means any country listed in Schedule A. "Local Currency" means the lawful currency of the Operating Territory in which a transaction occurs.
The Dispatch Coordination Model
Horizon Rides operates exclusively as a third-party dispatch, booking and order-coordination service. We are an intermediary that connects Passengers and customers with independent Drivers and independent Restaurant Partners. We do NOT provide transportation, delivery, or food preparation services ourselves. We do NOT employ Drivers or Restaurant Partners in any Operating Territory.
1.2 Cross-Border Operation
By using the Services in any Operating Territory, you acknowledge that (a) Horizon Rides is a Saint Lucia entity providing digital coordination services across borders; (b) all data processing, account administration, and dispute resolution functions are performed from Saint Lucia; (c) local Drivers and Restaurant Partners contract with you directly for the underlying ride or delivery; and (d) any country-specific terms in Schedule A apply in addition to, and where in conflict prevail over, the general terms in this document.
2. TERMS FOR PASSENGERS AND CUSTOMERS
2.1 Eligibility: You must be at least 18 years old to hold a Horizon Rides account. Passengers under 16 must be accompanied by a parent or guardian.
2.2 Pricing & Currency: Fares and order totals are displayed and charged in the Local Currency of the Operating Territory in which the trip or order originates. Where Horizon Rides settles in a currency other than the Local Currency, foreign-exchange differences are absorbed by Horizon Rides and are not passed to the User.
2.3 Taxes: Where any Operating Territory imposes value-added tax (VAT), goods and services tax (GST), or equivalent consumption tax on the platform fee, that tax is included in the displayed total in accordance with local law. See Schedule A for territory-specific rates.
CRITICAL INSURANCE WARNING:
Drivers maintain personal auto insurance which may EXCLUDE coverage for paid trips in your Operating Territory. You voluntarily assume all risks associated with transportation and delivery services provided by independent contractors. Insurance requirements vary by country — see Schedule A.
3. TERMS FOR DRIVERS
3.1 Independent Contractor Status: You are an independent contractor operating your own private hire transportation or delivery business in your home Operating Territory. You are NOT an employee, agent, partner, or joint venturer of Horizon Rides in any jurisdiction. You control your own schedule, routes, and acceptance of trips.
3.2 Local Licensing & Compliance: You represent and warrant that you hold all permits, licences, public service vehicle registrations, roadworthiness certificates, tax numbers and insurance required by the laws of your Operating Territory. Specific minimum requirements per territory are set out in Schedule A. Failure to maintain these is grounds for immediate deactivation.
3.3 Tax Responsibility: You are solely responsible for declaring and paying all income tax, self-employment tax, VAT/GST, social security and any other levies applicable in your Operating Territory on the income you earn through the platform.
3.4 Compensation: Drivers receive 85% of the total fare or order value. Horizon Rides retains a 15% platform commission. Payouts are made in Local Currency to a bank or mobile-money account held in the Driver's Operating Territory. All earnings are subject to a hold period as specified in Schedule A for security and chargeback protection.
4. TERMS FOR RESTAURANT PARTNERS
4.1 Onboarding: Restaurant Partners must hold a valid food-handling licence, business registration, and any health-authority approvals required in their Operating Territory.
4.2 Commission: The default commission is 15% of the order subtotal, payable to Horizon Rides. Promotional or pilot rates may be agreed in writing.
4.3 Food Safety & Liability: Restaurant Partners are solely responsible for food quality, hygiene, allergen disclosure, and compliance with local public-health regulations. Horizon Rides has no liability for food prepared by Restaurant Partners.
5. PAYMENTS, CHARGEBACKS AND REFUNDS
5.1 Card payments are processed by third-party payment processors licensed in the relevant region. Cash payments, where supported, are governed by Schedule A.
5.2 Refunds for cancelled, undelivered or materially defective rides or orders are issued at Horizon Rides' discretion and credited to the original payment method in the Local Currency.
5.3 Chargebacks initiated without first contacting Horizon Rides support may result in account suspension pending investigation.
6. DATA PROTECTION
Horizon Rides processes personal data in accordance with the Data Protection Act of Saint Lucia and, where applicable, the data-protection laws of each Operating Territory. By using the Services you consent to the cross-border transfer of your personal data to Saint Lucia for the purpose of providing the platform. The Privacy Policy is incorporated by reference.
7. GENERAL PROVISIONS
7.1 Governing Law: These Terms are governed by the laws of Saint Lucia, without regard to its conflict-of-laws principles, save for mandatory consumer-protection provisions of your Operating Territory which cannot be contracted out of.
7.2 Binding Arbitration: All disputes shall be resolved exclusively through final and binding arbitration seated in Castries, Saint Lucia, pursuant to the Arbitration Act of Saint Lucia, Chapter 5.01. Hearings may be conducted virtually for the convenience of Users in other Operating Territories.
7.3 Limitation of Liability: The total aggregate liability of Horizon Rides under these Terms shall not exceed the greater of (a) fees paid by the User in the last 12 months, or (b) XCD $2,500 (or the Local Currency equivalent at prevailing rates).
7.4 Severability: If any provision is found unenforceable in a particular Operating Territory, the remaining provisions remain in full force, and the unenforceable provision shall be modified to the minimum extent necessary to make it enforceable in that territory.
7.5 Amendments: Horizon Rides may update these Terms by posting a revised version on the platform. Continued use after the effective date constitutes acceptance.
SCHEDULE A — COUNTRY-SPECIFIC PROVISIONS
A.1 Saint Lucia (Home Jurisdiction)
- Local Currency: Eastern Caribbean Dollar (XCD).
- Driver Licensing: Valid Saint Lucia driver's licence, vehicle insurance, and (where required) public service vehicle ("PH") authorisation.
- VAT: Applied to platform fees in accordance with the Value Added Tax Act of Saint Lucia.
- Driver Hold Period: 21 days from date of trip.
- Cash Payments: Permitted.
A.2 Antigua & Barbuda
- Local Currency: Eastern Caribbean Dollar (XCD).
- Driver Licensing: Valid Antigua & Barbuda driver's licence, current vehicle inspection certificate, motor insurance, and any "Hire & Reward" or omnibus authorisation required by the Transport Board.
- ABST (Antigua & Barbuda Sales Tax): Charged on platform commission where applicable under the ABST Act.
- Driver Hold Period: 21 days.
- Cash Payments: Permitted.
- Consumer Protection: Mandatory provisions of the Consumer Protection and Safety Act of Antigua & Barbuda apply notwithstanding clause 7.1.
A.3 Co-operative Republic of Guyana
- Local Currency: Guyanese Dollar (GYD). Settlement to Drivers in GYD.
- Driver Licensing: Valid Guyana driver's licence, vehicle fitness certificate, motor third-party insurance, and any hire-car certificate required by the Guyana Police Force Licensing & Certifying Department.
- VAT: 14% applied to platform commission where applicable under the Value-Added Tax Act, Cap. 81:05.
- Driver Hold Period: 21 days.
- Cash Payments: Permitted; cash settlement reconciled weekly.
- Foreign Exchange: Riders are charged in GYD; any USD/XCD settlement differences are absorbed by Horizon Rides.
A.4 Saint Kitts & Nevis
- Local Currency: Eastern Caribbean Dollar (XCD).
- Driver Licensing: Valid Saint Kitts & Nevis driver's licence, vehicle inspection, motor insurance, and any "T-plate" or omnibus permit required by the Traffic Department.
- VAT: Applied to platform commission in accordance with the Value Added Tax Act of Saint Kitts & Nevis.
- Driver Hold Period: 21 days.
- Cash Payments: Permitted.
A.5 Future Territories
Where Horizon Rides launches in additional CARICOM or international territories, the country shall be added to this Schedule A by amendment, and the country-specific provisions shall take effect from the published effective date for that territory.
